I conti annuali sono il principale strumento per ottenere informazioni sulla situazione finanziaria e sulla capacità reddituale di un’impresa. Devono fornire una visione veritiera della situazione economica dell’azienda, in modo che sia gli imprenditori stessi che terzi possano avere un quadro corretto e affidabile della situazione della società. È particolarmente importante e significativo per i terzi, come finanziatori (investitori, azionisti, banche), per prendere decisioni in merito ai finanziamenti. Di seguito scoprirai cosa occorre considerare nei conti annuali.
Cos’è il conto annuale?
Il conto annuale rappresenta la chiusura contabile dell’esercizio commerciale o del periodo fiscale di un’azienda. La maggior parte delle imprese chiude l’anno il 31 dicembre e inizia il nuovo esercizio il 1° gennaio. Il bilancio ha lo scopo di rappresentare in modo veritiero la situazione economica e il successo dell’azienda. È fondamentale che, nella contabilità, tutte le registrazioni siano chiare, ordinate, comprensibili e che tutte le informazioni siano complete e veritiere. Devono inoltre essere presenti tutti i giustificativi e non sono ammesse compensazioni tra conti.
Chi deve redigere un bilancio annuale?
Le aziende soggette all’obbligo di contabilità in partita doppia (come SA o Sagl) sono obbligate a redigere il bilancio annuale. Rientrano in questa categoria tutte le persone giuridiche, nonché ditte individuali e società di persone che, nell’ultimo esercizio, hanno realizzato un fatturato di almeno CHF 500’000.-.
Chi è obbligato alla revisione del bilancio annuale?
Società anonime (SA), Sagl, cooperative, società in accomandita per azioni, associazioni e fondazioni sono soggette all’obbligo di revisione e devono far verificare il loro bilancio. Il tipo di revisione dipende dalla dimensione e dall’importanza economica dell’organizzazione.
La revisione ordinaria è obbligatoria per le grandi imprese che, per due esercizi consecutivi, superano due dei seguenti tre criteri:
Totale di bilancio: CHF 20 milioni
Fatturato: CHF 40 milioni
Posti a tempo pieno: 250
Sono inoltre soggette alla revisione ordinaria le aziende che devono redigere un bilancio consolidato, quelle i cui azionisti che rappresentano almeno il 10% del capitale azionario la richiedano, oppure se previsto dallo statuto o dall’assemblea generale.
Le aziende che non rientrano in questi criteri devono sottoporre il loro conto annuale a una revisione limitata. Se la società lo decide all’unanimità e ha meno di 10 posti a tempo pieno, si può anche rinunciare in tutto o in parte alla revisione.
Cosa contiene il conto annuale?
Bilancio e conto economico
Nel bilancio devono essere indicati tutti gli elementi patrimoniali (incluse le passività), le ratei e risconti, le spese e i ricavi dell’esercizio e alla data di chiusura (solitamente il 31 dicembre). Questi elementi sono riportati nel bilancio patrimoniale e nel conto economico.
Allegato
Un altro componente del conto annuale è l’allegato. Oltre a informazioni formali come la denominazione sociale, la forma giuridica, la sede e il numero di posti a tempo pieno, vi si trovano anche i principi contabili applicati (se non previsti dalla legge) e spiegazioni su determinate voci del bilancio e del conto economico.
Le grandi imprese soggette a revisione ordinaria devono redigere anche una relazione sulla gestione e un rendiconto finanziario.
Relazione sulla gestione
La relazione sulla gestione deve fornire informazioni sull’andamento degli affari e sulla situazione economica dell’impresa, che non emergono direttamente dal bilancio. Essa comprende, ad esempio, la valutazione dei rischi, la situazione degli ordini e degli incarichi, le attività di ricerca e sviluppo e le prospettive future.
Rendiconto finanziario
Il rendiconto finanziario deve mostrare la variazione dei mezzi liquidi e le ragioni di tali variazioni. Grazie alla trasparenza dei flussi di cassa, esso consente a investitori, creditori e altri destinatari di comprendere meglio la situazione finanziaria dell’impresa.
Entro quando deve essere redatto il bilancio annuale?
Secondo il Codice delle obbligazioni (CO), il bilancio deve essere redatto entro al massimo 6 mesi dalla fine dell’esercizio, poiché entro questo termine devono tenersi anche le assemblee generali e dei soci. Per le grandi aziende, il termine è ridotto a 3 mesi.
Il bilancio annuale deve essere presentato insieme alla dichiarazione fiscale all’autorità fiscale cantonale. I termini variano da cantone a cantone: a Ginevra il termine è il 30 aprile, a Zurigo il 30 settembre. Tuttavia, in quasi tutti i cantoni è possibile richiedere una proroga del termine.
